About These Terms
These terms apply to every quotation, proforma invoice (PI) and order between The Quality Collection Private Limited ("we", "us") and the buyer ("you"). By confirming an order or paying an advance, you accept these terms. If a signed PI or contract says something different, the PI or contract applies.
Website Use
Product photos, catalogues and descriptions on this website are for reference. Colours may look different on screens. We may change designs and specifications without notice. All content, photos and designs on this website belong to us and may not be copied without written permission.
Quotations and Prices
Quotations are valid for 30 days unless stated otherwise. Prices are in the currency and on the Incoterm (EXW, FOB or CIF, Incoterms 2020) shown on the quotation. Prices may be revised after the validity period or if raw-material prices change significantly before order confirmation.
Minimum Order Quantity
The minimum order quantity (MOQ) for each item is stated on the quotation. Orders below MOQ may carry an extra charge.
Payment
Unless agreed otherwise in writing: 50% advance with order confirmation and 50% balance before shipment. Payment by bank transfer (TT) or Alibaba Trade Assurance. All bank charges outside India are paid by the buyer. Goods remain our property until full payment is received.
Samples
Sample and courier charges are paid by the buyer. Sample charges may be adjusted against a confirmed order, as stated on the quotation. Production follows the approved sample.
Custom Designs and Confidentiality
Designs, drawings and ideas supplied by you remain your property. We will not sell your exclusive designs to other buyers. You confirm that you have the right to use any design, logo or brand you ask us to produce, and you are responsible for any third-party claims about them.
Order Confirmation and Changes
Production starts after we receive the advance and your written approval of the PI, sample, size, finish and packing. Changes after approval may change the price and delivery date.
Production Time
Production time is counted from the date of advance receipt and final approval, whichever is later. Delivery dates are estimates. Delays caused by buyer changes, late approvals or late payments extend the delivery date.
Handmade Nature of Products
Our products are handmade. Small variations in colour, finish, texture, size (up to ±5%) and weight are natural and are not defects.
Inspection
You may inspect goods before shipment yourself or through a third-party inspector, at your cost. Goods approved at inspection, or shipped after you confirm, are treated as accepted for quality and quantity.
Packing
Goods are packed in standard export packing. Special packing, labels or barcodes requested by you may be charged extra.
Shipping and Risk
Shipment is made as per the Incoterm on the PI. Risk of loss or damage passes to you as defined by that Incoterm. Insurance is arranged by the party responsible under that Incoterm.
Claims
Any claim for damage, shortage or defect must be sent in writing with photos and packing details within 7 days of delivery. Claims are settled by repair, replacement or credit note on a future order, at our choice. Claims for handmade variation (clause 10) or for goods approved at inspection (clause 11) are not accepted.
Cancellation
Once production has started, the advance payment is not refundable. If you cancel before production starts, we may deduct costs already incurred.
Limitation of Liability
Our total liability for any order is limited to the invoice value of the goods concerned. We are not liable for indirect losses, such as loss of profit or business.
Force Majeure
We are not responsible for delays or failure caused by events beyond our control, including natural disasters, epidemics, strikes, port or transport disruption, war, and government actions.
Governing Law and Disputes
These terms are governed by the laws of India. Disputes will first be settled by discussion; if not resolved, they will be subject to the exclusive jurisdiction of the courts at Moradabad, Uttar Pradesh, India.
